Any unauthorized reproduction, reverse engineering, implementation, or commercialization of our patented technology is strictly prohibited and will be vigorously prosecuted to the fullest extent of the law. This includes, but is not limited to:

  • Creating similar or derivative AI audit systems based on our methodology

  • Copying our user interface designs and workflows

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

10. Limitation of Liability

IN NO EVENT WILL WE, OUR AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

12. Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any choice or conflict of law provision or rule.

13. Ownership and Rights

All rights, including but not limited to intellectual property rights, patents, copyrights, trade secrets, and methodologies associated with the AI Audit Analysis platform, its tools, data, and processes are the sole and exclusive property of SURGEAI LTD, a company registered in England and Wales under company number 16208592 with its registered office at 11 Maple Close, Radcliffe-On-Trent, Nottingham, England, NG12 2DG.

15. Confidentiality and Non-Disclosure

By accessing and using our Services, you also agree to the terms of the Mutual Non-Disclosure Agreement (NDA) outlined below, which is incorporated by reference into these Terms of Service.

15.1 Mutual Non-Disclosure Agreement (NDA)

This NDA is between you ("Recipient") and SURGEAI LTD ("Discloser") regarding confidential and proprietary information related to the AI Audit Analysis platform, including its business model, codebase, algorithms, architecture, workflows, scoring systems, and patent-pending features.

(a) You agree not to disclose, duplicate, reproduce, reverse engineer, or distribute any Confidential Information shared with you via the Services.

(b) Confidential Information includes all documentation, code, data flows, scoring methodologies, audit frameworks, internal tools, and any content designated as confidential or that should reasonably be understood as such.

(c) This obligation extends during and after your access to the Services, and remains in force for five (5) years after termination of such access.

(d) All rights, title, and interest in the Confidential Information remain solely with SURGEAI LTD. Nothing in this NDA grants you a license to use the Confidential Information for any purpose other than in accordance with these Terms.

(e) Any breach of this NDA will entitle SURGEAI LTD to pursue injunctive relief, damages, and legal remedies under applicable law.

By accepting these Terms, you expressly acknowledge and agree to be bound by this NDA.
